| High Performing Incentive: |

- Potential equity position available after a 3-year high-performance record. An equity position grants the same rights as other LLC members.
- Termination occurs after no production within a given year. Renewal compensation will decrease by 50% upon termination. Renewal compensation is guaranteed for the life of the membership after a 5-year vesting period.
- Forfeiture of renewals after 2 years of non-production within the first 5 years of appointment with ACDD.
